Terms and Conditions of Use

1. Introduction

At AgroAmerICO ("AgroAmerICO", "we", "us" or "our") we take legal security, transparency, and the correct use of our digital services very seriously.

These Terms and Conditions of Use ("Terms") govern the access and use of the Cosechas mobile application (the "Application" or "App"), the website www.agroamerico.com, and all associated services (collectively, the "Services").

By downloading, registering, starting the trial period, or using the Application, the User expressly, freely, and informedly agrees to be legally bound by these Terms. If you do not agree with these Terms, you must refrain from using the Services.

2. Definitions

For the purposes of these Terms:

Application or App: Cosechas mobile software operated by AgroAmerICO.

User: Natural or legal person who accesses or uses the Application.

Account: Personal registration created by the User.

License: Right of temporary use acquired by the User.

User Content: Information entered by the User into the App.

Synchronization: Automatic process of bidirectional data transfer between the User's device and AgroAmerICO's servers, enabling the backup, recovery, and ongoing update of the User's data.

Services: Agricultural management features provided by the Application, including Synchronization.

3. Service Description

The Application allows:

  • Registration and control of agricultural production.
  • Management of crops and harvests.
  • Organization of production data.
  • Consultation of record data.
  • Automatic and secure synchronization of data with AgroAmerICO's servers, enabling cloud backup and data recovery upon device changes or reinstallations.

3.1 Synchronization Service

Important: The Synchronization service is available exclusively to Users with a 12-month license. Licenses of shorter durations do not include this feature.

The Application includes an automatic synchronization service that keeps the User's data backed up on AgroAmerICO's servers. This service:

  • Performs bidirectional encrypted data transfer between the device and AgroAmerICO's servers.
  • Allows the User to recover their data when changing devices or reinstalling the Application, provided they maintain an active 12-month License linked to their Account.
  • Operates automatically when the device has an Internet connection.
  • Includes reconciliation mechanisms to ensure data consistency between the device and the server.

Note: Synchronization links data to the User's Account (not to an individual device), so information is preserved even upon device changes or license renewals.

4. Registration and User Account

4.1 Requirements

The User must:

  • Create an account with a valid email address.
  • Accept these Terms and the Privacy Policy.

4.2 Responsibility

The User is solely responsible for:

  • Safeguarding their license and credentials.
  • All activity performed from their account.

5. Licenses, Trial and Payments

5.1 Trial Period

A free 7-day trial is offered, with full access to all features, with no automatic charges.

5.2 Paid Licenses

Licenses:

  • Are linked to an account and device.
  • Have a fixed duration.
  • Only 12-month licenses include the Synchronization service (cloud backup, data recovery, and cross-device synchronization).

Require renewal for service continuity.

5.3 Prices and Taxes

  • Values expressed in USD.
  • VAT or equivalent tax will be added according to local legislation.
  • Conversion to ARS for users in Argentina when applicable.

AgroAmerICO may modify prices without prior notice.

5.4 Payment Processors

  • Paddle.com — Authorized Merchant of Record for international payments. Paddle manages refunds in accordance with their consumer protection policies.
  • Mercado Pago — Available exclusively for users in Argentina. Refunds are processed through Mercado Pago in accordance with their terms and conditions.

The refund will be issued through the same payment processor used for the original purchase.

6. Refund Policy

14-day satisfaction guarantee.

The User may request a full refund within 14 days of purchase.

Conditions:

  • No justification required.
  • Same payment method.
  • Estimated processing time: 5 to 10 business days.

Process for refund request:

The user must send an email to support@agroamerico.com with the subject "Refund Request" including the following mandatory information:

  • Email address associated with the purchase.
  • License number provided by AgroAmerICO.
  • Transaction number or purchase receipt.
  • Description of what you want to be refunded.

7. Acceptable Use

Permitted:

  • Legitimate agricultural management.
  • Recording of real information.
  • Use in accordance with the law.

Prohibited:

  • Copying or reselling the Application.
  • Unauthorized access.
  • Reverse engineering.
  • Fraudulent use.
  • Unauthorized automation.
  • Transfer of licenses.

8. Intellectual Property

All rights to:

  • Software.
  • Design.
  • Trademarks.
  • Content.

belong exclusively to AgroAmerICO.

9. User Content

Data:

  • Remains stored locally on the device.
  • For Users with a 12-month license, data is also backed up on AgroAmerICO's servers through the Synchronization service.
  • Synchronized data is transmitted in encrypted form and is associated exclusively with the User's Account.
  • AgroAmerICO will not access, use, or share the User's agricultural data with third parties, except as strictly necessary to provide the Synchronization service.

The User assumes full responsibility for:

  • Security.
  • Preservation.
  • Loss of information that was not correctly synchronized due to lack of Internet connection, device errors, or other circumstances beyond AgroAmerICO's control.

10. Privacy

Data processing is governed by the Privacy Policy integrated into these Terms.

Collected data:

  • Email address.
  • Basic account data.
  • Device identifier.
  • Technical support information.
  • Agricultural data transmitted through the Synchronization service (crops, farms, sections, harvests, sessions, records, and labels).
  • Synchronization metadata (sync status, change origin, timestamps, account identifier).

Synchronization Data

Synchronized data is stored on secure servers and is associated exclusively with the User's Account. Upon account cancellation, synchronized data will be deleted within a reasonable timeframe, unless legally required to be retained. The User may request early deletion of their synchronized data by contacting support.

11. Service Availability

No guarantee of:

  • Uninterrupted access.
  • Absence of technical failures.
  • Continuous availability of the Synchronization service.
  • Maintenance or suspensions may be carried out for technical or security reasons.

In the event of a temporary Synchronization outage, data will remain stored locally on the User's device and will sync automatically once the service is restored.

12. Limitation of Liability

The Application is provided "as is" and "as available". It may have failures or interruptions, and by using it the User accepts that errors in its operation may exist.

AgroAmerICO is not liable for:

  • Data loss, including data that was not correctly synchronized due to lack of Internet connection, device errors, or other circumstances beyond AgroAmerICO's control.
  • Agricultural decisions.
  • Indirect damages.
  • Economic losses.
  • Service or Synchronization interruptions due to force majeure.
  • Temporary inconsistencies between local device data and data stored on the servers during the Synchronization process.

Maximum liability: amount paid in the last 12 months.

13. Indemnification

The User will indemnify AgroAmerICO for:

  • Misuse.
  • Contractual breaches.
  • Violations of third-party rights.

14. Suspension and Termination

AgroAmerICO may suspend accounts for:

  • Violations of Terms.
  • Fraud.
  • Failure to pay.
  • Legal requirements.

The User can cancel their account at any time. Cancellation will result in the deletion of synchronized data on AgroAmerICO's servers within a reasonable timeframe, unless legally required to be retained. Data stored locally on the User's device will not be affected by account cancellation.

Process for account cancellation request:

The user must send an email to support@agroamerico.com with the subject "Cancellation Request" including the following mandatory information:

  • Email address.
  • License number(s) provided by AgroAmerICO.

15. Modifications

Changes:

  • Will be published with an updated date.
  • Will take effect within 5 days.
  • Subsequent use implies acceptance.

17. Applicable Law and Jurisdiction

Governed by the legislation of the User's country of residence, respecting current consumer protection regulations.

18. General Provisions

  • Severability of clauses.
  • No waiver by inaction.
  • Prohibition of assignment without authorization.
  • Complete agreement between parties.
